Data: Any physical or digital information provided by the Company to the Recipient.
Confidential Information: All non-public information provided by the Company, including but not limited to the Data, business operations, and intellectual property.
Recipient: Any individual or entity receiving Data from the Company.
3.1 Acknowledgment: The Recipient acknowledges that the Data provided by the Company is confidential and proprietary.
3.2 Purpose: The Data shall only be used for the specific purpose agreed upon by the Company and the Recipient.
4.1 Physical Data Transfer: Data can be provided through physical means such as hard drives, USB drives, or other physical media.
4.2 Secure File Transfer: Client data can be provided through secure file transfer methods such as encrypted email, secure FTP (SFTP), or other secure electronic means.
5.1 Confidentiality: The Recipient agrees not to disclose any Confidential Information to any third party and to use such information solely for the purpose for which it was provided. We are committed to maintaining the confidentiality of your data. All client data will be handled in accordance with our data privacy and security policies.
5.2 Encryption: Data transferred electronically must be encrypted using industry-standard encryption methods. Physical media should also be encrypted where possible.
5.3 Access Control: Only authorized personnel will have access to your data. Access will be granted based on the principle of least privilege.
6.1 Data Accuracy: The Client is responsible for ensuring the accuracy, completeness, and integrity of the data provided.
6.2 Compliance: The Client must ensure that the transfer of data complies with all applicable laws and regulations, including data protection and privacy laws.
6.3 Instructions: The Client must provide clear instructions on how the data should be processed, including any specific handling or processing requirements.
7.1 Data Handling: We will handle your data with the utmost care and in accordance with the agreed instructions.
7.2 Data Protection: We will implement appropriate technical and organizational measures to protect your data against unauthorized access, loss, or destruction.
7.3 Incident Response: In the event of a data breach or security incident, we will notify you promptly and take appropriate action to mitigate any potential harm.
8.1 Limitation of Liability: Our liability for any loss or damage arising from the receipt, handling, or processing of your data is limited to the amount paid by you for our services.
8.2 Indemnification: You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your breach of these Terms or any applicable laws.
9.1 Retention Period: We will retain your data only for as long as necessary to fulfill the purposes for which it was provided or as required by law.
9.2 Deletion: Upon completion of the services or at your request, we will securely delete or return your data in accordance with your instructions.
We reserve the right to amend these Terms at any time. Any amendments will be communicated to you in writing and will take effect 30 days after such notification.
